This agreement is accomplished for purposes of clarifying the roles, responsibilities and liabilities of both contracting parties. By providing payment for an advertising marketing package, you agree to purchase Video Services for a (6) month or (1) year subscription period when you choose Look2Videos Mega, Gold, Silver, or Bronze Plan. You acknowledge that Look2Video will automatically renew your subscription and charge the account we have on record for an additional (6) months or (1) year of service at the end of each subscription period, at the then-current year's rate, unless you contact us at support@look2video.com to cancel Services at least thirty (30) days prior to the end of the then-current subscription period. For our vehicle sellers it is a one time fee, guaranteed until sold. The Owner thereby acknowledges their understanding and acceptance of the terms set forth in this Agreement and their consent to abide by its stipulations. Look2Video is organized as an advertising marketing company and is subject to Texas State Commerce Regulations. For our Vehicle Sellers, Look2Video is Licensed as neither a dealer nor commercial broker of vehicles, Look2Video is prohibited by law from collecting commissions from the sale of motor vehicles. Under no circumstances within the scope of this Agreement will Look2Video solicit or accept from the Owner any commissions or charges of any kind AFTER THE SALE. Look2Video will use its best efforts to assist in marketing our business clients to the top video sharing sites in the country. Depending upon the package that is purchased, upgrades for an additional cost may be available such as professional voice over etc... Look2Video will utilize various video sharing sites in the country to promote our clients businesses.

Changes to Look2Video.com and Terms and Conditions :

We reserve the right to modify Look2Video.com services and prices for any reason, and without notice, without liability to you, any other Client and Member or any third party. We also reserve the right to modify these Terms of Service from time to time without notice. You are responsible for regularly reviewing these Terms of Service so that you will be apprised of any changes.

Copyright Infringement:

Look2Video respects the intellectual property of others. It is Look2Video's policy to respond expeditiously to claims of copyright and other intellectual property infringement when it comes to pictures being sent in by clients or videos being sent in by clients. Look2Video will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying or substantially complying with the DMCA, Look2Video may act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and may act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. Look2Video will terminate access for subscribers and account holders who are repeat infringers.

Notifying Look2Video of Copyright Infringement: To provide Look2Video notice of an infringement, you must provide a written communication to the attention of "DMCA Infringement Notification Dept." care of support@look2video.com that sets forth the information specified by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). Please note that we may post your notification, with personally identifiable information redacted, to a clearinghouse such as chillingeffects.org. Please also note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright. Providing Look2Video with Counter-Notification: If we remove or disable access to content in response to an infringement notice, we will make reasonable attempts to contact the owner or administrator of the affected site or content. If you feel that your material does not constitute infringement, you may provide Look2Video with a counter notification by written communication to the attention of "DMCA Counter Notification Dept." at support@look2video.com that sets forth all of the necessary information required by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). Please note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is not infringing the copyrights of others. If you are uncertain whether an activity constitutes infringement, we recommended seeking advice of an attorney.

Liability Disclaimer For Video:

LOOK2VIDEO will place client’s business ad and or vehicle ad with a video ad on the top video sharing sites in the country. (Depends on package purchased) Look2Video has no control of when the search engines will place the video in the search results or which video sharing sites will appear in the search results on Google and other major search engines. Many video sharing sites syndicate their content to other video sharing sites which is when a video goes viral. Look2Video offers no warranty or guarantee as to how or where the syndication partners use the information posted after Look2Video has fulfilled it’s commitment. This is beyond Look2Videos control. Look2Video guarantees 1 or more page one or page two organic video links or video clips (either or) on Google on page one or page two under certain keyword phrases once the search engines have placed the video ( How Many Keyword Phrases Depends On Package Purchased) also PLEASE NOTE: KEYWORD PHRASES ARE BASED ON A CITIES POPULATION, THE POPULARITY OF THAT KEYWORD PHRASE AND HOW MANY RESULTS ARE BASED ON THOSE KEYWORD PHRASES. ALL KEYWORD PHRASES WILL STATE THE CITY AND THE STATE IN THE PHRASE. EX: PAINTING CONTRACTOR LAS VEGAS NEVADA. There will be times that a clients keyword phrase will not show up on the internet. This is beyond Look2Videos control. We will do everything in our power to rectify the situation by giving the client another keyword phrase to be used in it's place. All of these factors are determined by the afore mentioned. Also, as part of the video search engine optimization process, your listing will be in a state of flux. This is also referred to on Google as the "Google Dance". This is due to the screening process that search engines such as Google and others use to validate your video listing as a viable addition to the local directory and to ensure that it's not "spam" or in violation of any of the terms of use per search engine. You will, without a doubt, see your listing rise and fall, sometimes off the first page, as this process continues. This process happens to every video that is put out on the internet and is beyond Look2Videos control. This process could take 3-5 days it could take 3 weeks, it might take a month or more. Once again, we do not have any control of the way the search engines operate. Look2Video will post each and every clients keyword phrases to the top video sharing sites such as You Tube Video, Yahoo Video etc..Look2Video shall not be considered responsible for acts beyond its control including, but not limited to, video sharing sites going out of business or closing down, videos not showing up on search engines under certain keyword phrases because of search engine algorithm changes, ads that may play along side your video, acts of God, power outages, or other disasters. Look2Video offers no assurances of multiple hits or views on your video ad/video link. This is beyond LOOK2VIDEO’S control. Also please keep in mind that videos being placed on the search engines by the top video sharing sites is in it's infancy. Universal Search was implemented in 2007 by Google and is in it's early stages. Look2Video is on the forefront of those early stages. Please keep in mind that there will be certain times when a video will be rejected by the video sharing site/sites because of poor quality images. Look2Video shall not be held responsible for a rejected video with poor quality images. Look2Video has no control over the images because the images or video is sent in by client. Look2Video makes no claims to have definite buyers or potential customers for any vehicle video ad or business video ad at any given time. Also, Look2Video provides no guarantees that any vehicle will be sold within any specific time period or for any specified sale price. Look2Video has no control over commercials or ads that may pop up before your video on the video sharing sites.

Cancellation Policy:

I have read the terms and conditions/ advertising confirmation of Look2Video and understand that I have 72 hours to cancel my video purchase with LOOK2VIDEO. By entering my full name in the box below I have authorized LOOK2VIDEO'S merchant account to charge my credit card/ business or personal checking account for the amount of my purchase. A request for a refund is deemed to be a cancellation of service and all videos will be removed from the internet. Any discrepancies are subject to the policies contained within this Agreement. In the event of any dispute arising from this agreement the purchaser agrees that all actions filed will be in Kaufman County, Texas and will be adjudicated pursuant to the statutes of the State of Texas. The business owner/vehicle seller is responsible for all content (including business description/ vehicle description and images), context, and appearance of their individual photos sent to LOOK2VIDEO. Look2Video policy is to assist and cooperate with all Owners in the appearance of their video ads. Once video ad/video link is approved by business owner/vehicle seller and posted, no changes can be made. If purchaser decides to make any changes to the video ad, full price will be charged. To reiterate, the responsibility of the ad's appearance is the Owners'. Also let it be known, it is the responsibility of the owner or the person the agreement was made with, to make sure the pictures (or video that is sent in by client) are sent to Look2Video in a timely manner, so the video can be put up in a timely fashion. Look2Video shall not be held responsible for clients that send in their pictures late, or that submit their video to us late. This would be considered beyond Look2Videos control.
